The rules that govern use of Pexiko's school desk and parent portal.Agreement to these Terms

These Terms of Service ("Terms") govern access to and use of Pexiko's websites, school management desk, parent portal, applications, and related services (collectively, the "Services"). Pexiko is a school management platform provided by Solentik ("Pexiko", "we", "us", or "our").
By creating an account, accepting an invitation, purchasing a subscription, accessing a student profile, or otherwise using the Services, you agree to these Terms and our Privacy Policy. If you use the Services for a school or another organization, you represent that you have authority to bind it. If you do not agree, do not use the Services.
1. The Pexiko Services
Pexiko provides tools that may allow authorized users to manage school profiles, admissions, students, staff, classes, enrollments, subjects, attendance, assessments, grades, remarks, report cards, announcements, fees, bills, payments, receipts, subscriptions, notifications, files, and related administrative records. Features may depend on the school's plan, settings, permissions, and service availability.
Pexiko is an administrative technology service. We do not operate the school, teach students, determine grades, set school fees, make admissions or disciplinary decisions, or replace a school's professional and legal responsibilities.
2. Eligibility and authority
School accounts may be created and managed only by persons authorized to act for the school. Staff, parents, guardians, and other users may access the Services only through an account, invitation, or student relationship approved by the relevant school or otherwise authorized by law.
A minor may use a student-facing feature only under the authority and supervision of the school, parent, or legal guardian and where permitted by applicable law. Users must provide accurate information about their identity and authority and must not impersonate another person.
3. Accounts and security
- Keep passwords, OTP codes, recovery details, and session access confidential.
- Use individual accounts where accountability or audit history is required.
- School administrators must assign appropriate roles and permissions and promptly deactivate former staff.
- Notify Pexiko and the relevant school promptly if you suspect unauthorized access or disclosure of school records.
- Do not allow another person to use your account or attempt to bypass authentication or permission controls.
We may require password changes, additional verification, or session termination where reasonably necessary to protect the Services or users.
4. School responsibilities
Each school is responsible for:
- Obtaining authority, notices, consents, and lawful bases required for information entered into Pexiko.
- Ensuring student, guardian, staff, academic, attendance, fee, and payment records are accurate and used for legitimate school purposes.
- Determining which users may view, create, edit, approve, export, or delete school records.
- Responding to parents, guardians, students, staff, regulators, and others concerning school-controlled records.
- Maintaining records and procedures required by education, employment, tax, accounting, child-protection, and data-protection laws.
- Reviewing generated reports, grades, balances, invoices, and communications before relying on or distributing them.
A school must not instruct Pexiko to process information unlawfully or use the Services to avoid duties owed to its school community.
5. Parent and guardian access
Parent or guardian access is limited to students linked to that user's verified account or phone number by the school. A parent or guardian must not attempt to access another student's records, share downloaded reports or receipts unlawfully, or use school information for harassment, fraud, or an unrelated purpose.
Questions about attendance, grades, remarks, bills, admissions, school decisions, or record accuracy must be directed to the school. Pexiko may provide technical assistance but cannot alter a school record without proper school authority.
6. Acceptable use
You must not, and must not help another person to:
- Access an account, school, student, file, or system without authorization.
- Upload malicious code, disrupt the Services, evade controls, probe for vulnerabilities without permission, or overload the platform.
- Scrape, sell, disclose, or exploit personal or school information except as authorized.
- Use the Services for fraud, discrimination, harassment, unlawful surveillance, or infringement of another person's rights.
- Enter false payment information, manipulate grades or attendance without authority, or falsify school records.
- Reverse engineer, bypass licensing controls, or create a competing service from non-public elements of Pexiko except where prohibited by law.
- Upload unlawful, defamatory, harmful, infringing, or unrelated content.
7. Subscriptions, fees, and taxes
Paid features are provided according to the plan, billing period, usage limits, pricing, and taxes shown in an order, invoice, checkout page, or separate agreement. The school must keep billing information accurate and pay charges when due.
Unless an order or applicable law says otherwise, fees already paid are non-refundable. Failure to pay may result in restricted features, suspension, or termination after any required notice or grace period. We may change future pricing or plan features with reasonable notice; changes will not retroactively alter a prepaid period unless agreed with the school.
8. Student fee payments
Pexiko may allow a parent, guardian, or school user to initiate payment through an independent payment provider. The provider's terms, verification requirements, fees, limits, and privacy practices also apply. A payment is not final until confirmed by the provider and recorded or reconciled by the school.
Pexiko does not control bank, card-network, or mobile-money availability. Payment disputes, duplicate charges, incorrect allocations, or refund requests should be reported promptly with the transaction reference. The school remains responsible for confirming a student's balance and issuing any school-authorized refund.
9. Communications
By providing contact details, users agree to receive communications needed to provide the Services, such as invitations, OTP codes, password resets, security alerts, receipts, subscription notices, fee information, and school announcements. Delivery may occur through email, SMS, in-app notification, WhatsApp where enabled, or another school-selected channel.
Schools are responsible for school-initiated content, recipients, and legal authority. Delivery is not guaranteed because messages may be delayed, blocked, or sent to outdated contact details. Pexiko must not be used as the sole channel for emergencies.
10. School content and privacy
As between Pexiko and the school, the school retains its rights in information and content it submits ("School Content"). The school grants Pexiko a limited right to host, copy, process, transmit, display, back up, and otherwise use School Content only as needed to provide, secure, support, and improve the Services, comply with law, and fulfill our agreement with the school.
Our handling of personal information is described in the Privacy Policy. Users must protect student, staff, financial, and academic records when downloading, printing, exporting, or sharing them.
11. Intellectual property and third-party services
Pexiko and its licensors own the Services, software, designs, branding, documentation, and related intellectual property, excluding School Content. Subject to these Terms and applicable fees, authorized users receive a limited, non-exclusive, non-transferable, revocable right to use the Services for the school's internal educational administration.
The Services may depend on third-party hosting, storage, payment, email, SMS, domain, or other services. Third-party services are governed by their own terms and may change or become unavailable. Feedback may be used by Pexiko without restriction or payment, provided we do not publicly identify the contributor without permission.
12. Availability, suspension, and termination
We aim to provide reliable Services but do not promise uninterrupted or error-free operation. Maintenance, upgrades, security incidents, internet failures, third-party outages, or events outside reasonable control may affect availability. Schools should maintain procedures for time-sensitive attendance, safeguarding, payments, and communications when the Services are unavailable.
We may suspend or restrict access to address non-payment, security risk, unlawful activity, serious misuse, a legal requirement, or a material breach. Where practical and lawful, we will notify the school and allow a reasonable opportunity to cure the issue.
A school may stop using the Services according to its subscription or separate agreement. Before termination, it should export records it is entitled or required to retain. After termination, access may end and School Content may be deleted under the applicable retention period, subject to backups, legal holds, and records we must retain.
13. Disclaimers and limitation of liability
To the maximum extent permitted by law, the Services are provided "as is" and "as available". Pexiko disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. Calculations, reports, grades, balances, receipts, and exports depend on information and settings supplied by users and must be reviewed by the school.
To the maximum extent permitted by law, Pexiko will not be liable for indirect, incidental, special, punitive, or consequential loss, or loss of profits, revenue, goodwill, or data. Pexiko's total aggregate liability relating to the Services will not exceed fees paid by the affected school for the Services during the twelve months before the event giving rise to the claim.
Nothing in these Terms excludes rights, warranties, remedies, or liability that cannot lawfully be excluded or limited.
14. Indemnity, governing law, and disputes
To the extent permitted by law, a school agrees to defend and indemnify Pexiko against third-party claims arising from unlawful School Content, unauthorized instructions, violation of another person's rights, or a material breach of these Terms. This does not apply to the extent a claim was caused by Pexiko's own breach, negligence, or unlawful conduct.
These Terms are governed by the laws of the Republic of Ghana. Before filing a formal claim, the parties should attempt in good faith to resolve the dispute by contacting one another. Unless applicable law or a separate written agreement requires otherwise, the courts of Ghana will have jurisdiction.
15. General terms, changes, and contact
If part of these Terms is unenforceable, the remaining terms continue in effect. A failure to enforce a term is not a waiver. You may not transfer your account or these Terms without our consent; we may transfer them as part of a merger, reorganization, financing, or sale of the Services. These Terms, the Privacy Policy, the school's order or subscription, and any separate signed agreement form the agreement governing use of the Services. A separately signed agreement controls if it expressly conflicts with these Terms.
We may update these Terms to reflect changes to the Services, law, security requirements, or business practices. We will revise the effective date and provide appropriate notice of material changes. Continued use after updated Terms take effect constitutes acceptance unless applicable law requires another form of agreement.
